1. Acceptance of Terms

By accessing or using Snipara ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Snipara, operated by STARBOX GROUP GMBH, a company registered in Switzerland.

2. Description of Service

Snipara provides Context Optimization as a Service for Large Language Model (LLM) users. Our service:

  • Indexes your documentation to create searchable embeddings and semantic indexes
  • Returns optimized, relevant context for your queries within your specified token budget
  • Reduces context size by up to 90% while maintaining relevance
Important: Snipara does NOT run LLM inference. We optimize and deliver context—you use your own LLM provider (Claude, GPT, Gemini, etc.) to process the context.

3. Account Registration

To use the Service, you must:

  • Create an account with accurate and complete information
  • Be at least 16 years old (or have parental/guardian consent)
  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities under your account

You may authenticate using email magic links, or through third-party OAuth providers (GitHub, Google) subject to their respective terms of service.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Upload malicious content, malware, or content that infringes third-party rights
  • Attempt to bypass usage limits, rate limits, or security measures
  • Share your API keys with unauthorized parties
  • Resell, redistribute, or sublicense the Service without written permission
  • Use the Service to harm, harass, or discriminate against others
  • Interfere with or disrupt the Service or its infrastructure
  • Scrape, data mine, or extract data from the Service beyond normal use
  • Upload content containing personal data of third parties without proper consent

5. Your Content & Data

You retain full ownership of all documentation and content you upload to Snipara ("Your Content").

By uploading content, you grant us a limited, non-exclusive license to:

  • Store and process Your Content solely to provide the Service
  • Create embeddings, indexes, and caches for search and retrieval functionality
  • Make backup copies for disaster recovery and business continuity purposes

You represent that you have the right to upload Your Content and that it does not violate any third-party intellectual property rights, privacy rights, or applicable laws.

6. AI Training Policy

Your Data is Never Used for AI Training

We make the following binding commitments regarding Your Content:

  • We will NEVER use Your Content to train, fine-tune, or improve any AI or machine learning models
  • We will NEVER share Your Content with third parties for AI training purposes
  • We will NEVER access Your Content except for technical support with your explicit permission
  • Your embeddings and indexes are isolated and project-specific—never aggregated across users

7. Pricing and Payment

Snipara offers multiple pricing tiers with different query limits. By subscribing to a paid plan, you agree to:

  • Pay the applicable fees in advance on a monthly or annual basis
  • Provide accurate and complete billing information
  • Keep your payment information up to date

Refunds: Fees are generally non-refundable. However, if you are an EU consumer, you may have additional rights under consumer protection laws, including a 14-day withdrawal right for new subscriptions.

Price Changes: We reserve the right to modify pricing with at least 30 days' notice. Price changes will not affect your current billing period.

8. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may temporarily suspend service for:

  • Scheduled maintenance (with advance notice when possible)
  • Emergency security updates
  • Circumstances beyond our reasonable control (force majeure)

We are not liable for any downtime or service interruptions, except where required by applicable law.

9. API Usage

When using our API (including MCP endpoints), you agree to:

  • Respect published rate limits and usage quotas for your plan tier
  • Keep API keys confidential and rotate them immediately if compromised
  • Not attempt to reverse engineer, decompile, or derive source code from the API
  • Implement appropriate error handling in your applications
  • Not use the API in ways that could damage or impair the Service
  • Attribute Snipara when required by your plan terms

10. Intellectual Property

The Snipara service, including its software, algorithms, search technology, design, documentation, trademarks, and all related intellectual property, is owned by STARBOX GROUP GMBH and protected by Swiss and international intellectual property laws.

You may not copy, modify, distribute, sell, or create derivative works based on our service without prior written permission.

11. Limitation of Liability

To the maximum extent permitted by Swiss law:

  • Snipara shall not be liable for indirect, incidental, special, consequential, or punitive damages
  • Snipara shall not be liable for loss of data, profits, revenue, or business opportunities
  • Our total liability shall not exceed the fees you paid in the 12 months preceding the claim
Note for EU consumers: These limitations do not affect your statutory rights under applicable consumer protection laws.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We specifically disclaim:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that the Service will meet your specific requirements
  • Warranties that query results will be accurate, complete, or timely
  • Warranties that the Service will be uninterrupted or error-free

13. Indemnification

You agree to indemnify and hold harmless Snipara and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Content (including any claims of intellectual property infringement)

14. Termination & Data Deletion

By You: You may cancel your account at any time through your account settings or by contacting us at support@starbox-group.com.

By Us: We may suspend or terminate your account:

  • Immediately for material breach of these Terms
  • With 30 days' notice for any other reason

Data Deletion Upon Termination

Upon account termination or at your request:

  • Your Content and personal data will be permanently deleted within 30 days
  • All embeddings, indexes, and cached data will be purged
  • API keys will be immediately revoked
  • Data required for legal compliance may be retained as required by Swiss law

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through a prominent notice in the Service at least 30 days before they take effect.

Continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and may request account deletion.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Switzerland, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Zurich, Switzerland.

For EU consumers: Nothing in these Terms affects your right to rely on mandatory provisions of consumer protection law in your country of residence, or to bring proceedings in the courts of your country of residence.

17. Dispute Resolution

Before initiating legal proceedings, you agree to contact us and attempt to resolve the dispute informally. We will make good-faith efforts to resolve any issues within 30 days.
