1. Acceptance of Terms

By accessing or using Snipara ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Snipara.

2. Description of Service

Snipara provides context optimization as a service for Large Language Model (LLM) users. We index your documentation and return optimized, relevant context for your queries. We do not run LLM inference - you use your own LLM provider.

Our service processes your documentation to create searchable indexes and embeddings, enabling efficient retrieval of relevant content within token budget constraints.

3. Account Registration

To use the Service, you must:

  • Create an account with accurate and complete information
  • Be at least 16 years old
  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Upload malicious content, malware, or content that infringes third-party rights
  • Attempt to bypass usage limits, rate limits, or security measures
  • Share your API keys with unauthorized parties
  • Resell, redistribute, or sublicense the Service without written permission
  • Use the Service to harm, harass, or discriminate against others
  • Interfere with or disrupt the Service or its infrastructure
  • Scrape, data mine, or extract data from the Service beyond normal use

5. Your Content

You retain all ownership rights to the documentation and content you upload to Snipara ("Your Content"). By uploading content, you grant us a limited, non-exclusive license to:

  • Store and process Your Content to provide the Service
  • Create embeddings, indexes, and caches for search functionality
  • Make backup copies for disaster recovery purposes

We will NOT:

  • Use Your Content to train AI models
  • Share Your Content with third parties except as necessary to provide the Service
  • Access Your Content except for technical support with your permission

You represent that you have the right to upload Your Content and that it does not violate any third-party rights or applicable laws.

6. Pricing and Payment

Snipara offers multiple pricing tiers with different query limits. By subscribing to a paid plan, you agree to:

  • Pay the applicable fees in advance on a monthly or annual basis
  • Provide accurate and complete billing information
  • Keep your payment information up to date

Refunds: Fees are generally non-refundable. However, if you are an EU consumer, you may have additional rights under consumer protection laws, including a 14-day withdrawal right for new subscriptions.

Price Changes: We reserve the right to modify pricing with at least 30 days' notice. Price changes will not affect your current billing period.

7. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may temporarily suspend service for:

  • Scheduled maintenance (with advance notice when possible)
  • Emergency security updates
  • Circumstances beyond our reasonable control

We are not liable for any downtime or service interruptions, except where required by applicable law.

8. API Usage

When using our API, you agree to:

  • Respect published rate limits and usage quotas
  • Keep API keys confidential and rotate them if compromised
  • Not attempt to reverse engineer, decompile, or derive source code from the API
  • Implement appropriate error handling in your applications
  • Not use the API in ways that could damage or impair the Service

9. Intellectual Property

The Snipara service, including its software, algorithms, design, documentation, trademarks, and all related intellectual property, is owned by us and protected by Swiss and international intellectual property laws.

You may not copy, modify, distribute, sell, or create derivative works based on our service without prior written permission.

10. Limitation of Liability

To the maximum extent permitted by Swiss law:

  • Snipara shall not be liable for indirect, incidental, special, consequential, or punitive damages
  • Snipara shall not be liable for loss of data, profits, revenue, or business opportunities
  • Our total liability shall not exceed the fees you paid in the 12 months preceding the claim

These limitations apply regardless of the legal theory (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.

Note for EU consumers: These limitations do not affect your statutory rights under applicable consumer protection laws.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We specifically disclaim:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that the Service will meet your specific requirements
  • Warranties that query results will be accurate, complete, or timely
  • Warranties that the Service will be uninterrupted or error-free

12. Indemnification

You agree to indemnify and hold harmless Snipara and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Content

13. Termination

By You: You may cancel your account at any time through your account settings or by contacting us.

By Us: We may suspend or terminate your account:

  • Immediately for material breach of these Terms
  • With 30 days' notice for any other reason

Upon termination, your right to use the Service ends. We will delete Your Content within 30 days, except as required by law for compliance purposes.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through a prominent notice in the Service at least 30 days before they take effect.

Continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Switzerland, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Zurich, Switzerland.

For EU consumers: Nothing in these Terms affects your right to rely on mandatory provisions of consumer protection law in your country of residence, or to bring proceedings in the courts of your country of residence.

16. Dispute Resolution

Before initiating legal proceedings, you agree to contact us and attempt to resolve the dispute informally. We will make good-faith efforts to resolve any issues within 30 days.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Snipara regarding the Service and supersede all prior agreements.
